1. General information
1.1. These Terms and Conditions (the „Terms“) govern the relationship between Webtura Studio („Contractor“) and any client („Client“) in the provision of web design, development, hosting, maintenance, online store or related services.
1.2. The Customer acknowledges that it has read and agrees to these Terms before entering into a contract or commencing services.
1.3. The Contractor reserves the right to change the Terms at any time. Changes shall take effect upon posting on the website and/or notification to the Customer.
2. Definitions
2.1 „Project“ - the development of a website or online shop as described in the proposal/contract.
2.2 „Technical Support“ - technical services including hosting, updates, backups, security measures as specified in the contract.
2.3 „Client Materials“ - content, images, text, logos, etc. that the Client provides for the Project.
3. Scope of services
3.1. The contractor shall provide the services according to the individual proposal/contract: design, development, hosting, SEO optimization, technical support.
3.2. The Contractor shall not be liable for any content provided by the Customer if it infringes the rights of third parties or applicable law.
3.3. The Client undertakes to provide the necessary materials within the time limit (as specified in the Contract) and to assist in the implementation of the Project.
4. Terms and payment
4.1. The terms shall be set out in the contract or proposal and shall be subject to the timely cooperation of the Customer.
4.2 Payment shall be made in the following manner: 50% advance prior to commencement, 50% upon completion/handover of the Project. For Technical Support - monthly fee as specified in the contract.
4.3. In case of late payment, the Contractor reserves the right to suspend the service until the debt is repaid.
5. Hosting, Technical Support and Warranty
5.1. Hosting and Technical Support are provided under agreed terms and conditions - monthly fee, certain hours of included work, etc.
5.2. The Contractor shall provide daily backups, protection and monitoring as specified but does not guarantee 100% continuity.
5.3 The warranty period for the developed project shall be 14 days after release, during which time the Contractor shall rectify errors free of charge if not caused by exceptional circumstances or intervention by the Client.
6. Copyright and Intellectual Property
6.1. All rights to design, code, images (if created by the Contractor) shall remain the property of the Contractor until full payment. After repayment - the rights are transferred to the Client, unless otherwise agreed.
6.2 The Customer warrants that it owns the rights to use the materials provided by it and accepts liability for any infringement.
7. Confidentiality
7.1. The parties undertake to maintain confidentiality regarding information that is designated as such and is not publicly available.
7.2. This does not apply to information required by law, court order or regulatory authority.
8. Waiver and termination
8.1. The Client may terminate the Service by giving the Contractor 30 days written notice and paying for the work completed to date.
8.2. The Contractor may terminate the Contract in the event of breaches by the Client, late payment or failure to support the Project.
9. Responsibility
9.1. The Contractor shall not be liable for consequential damages, lost profits or data lost as a result of services.
9.2. The maximum total liability of the Contractor shall not exceed the amount received from the Client for the specific project/service.
10. Changes to the service
10.1. Any change beyond the originally agreed scope is considered an additional service and will be charged extra.
10.2. Changes shall be documented and an additional annex/offer signed.
11. Applicable law and jurisdiction
11.1. These Terms are governed by Bulgarian law.
11.2. All disputes between the parties shall be settled before the competent court in the Republic of Bulgaria.
12. Final provisions
12.1. If any provision of the Terms is found to be invalid, this shall not affect the remaining provisions.
12.2 The Customer declares that he/she has reached the age of majority and has the capacity to enter into a contract.
